Eugene Yujie Gu, Esq. is a senior lawyer at DeHeng with extensive transactional experience working on matters involving different practice areas and jurisdictions. He primarily advises PRC and international clients on US or HK law-related issues in capital market, M&A, foreign investment and general corporate matters. He has represented a number of issuers, underwriters and placing agents in equity and debt offerings as well as acquirers and targets in M&A transactions. He has drafted or negotiated a variety of transaction documents, including disclosure documents, agreements, opinions and comfort letters. His recent transactional experience includes working with several leading Indian companies, an online video streaming company, a leading PRC real estate developer and operator, a leading PRC petrochemical state owned enterprise, a chemical EPC provider, a major PRC airliner, a restaurant chain, a women's footwear manufacturer, an environmental company in South China, a PRC petrochemical company, a PRC heavy industries group engaged in shipbuilding and offshore engineering, a telecommunications equipment manufacturer, a provider of water and wastewater treatment services in China and a real estate developer and operator of high-end shopping malls in North China. He also advised on delisting and deregistration matters of foreign private issuers in the US and assisted clients in corporate compliance matters and filings with the US regulators and stock exchanges. He has lived in Hong Kong for 9 years and practiced US and HK law during his residency. He has also lived in New York for more than 8 years and practiced US federal and NY laws. Mr. Gu earned his BA and MA degrees from Tsinghua University, PRC and Juris Doctor degree from Drake University Law School, USA, where he was the research editor of Drake Law Review. He is admitted to practice law in New York and Hong Kong and further has the qualification to be licensed to practice law in the PRC. Mr. Gu is fluent in English and Mandarin.
